When we refer to "DocuSeal," "Company," "we," "our," "us," "Service," or "Services," we are addressing DocuSeal LLC.

Please note: The following Terms of Service specifically pertain to DocuSeal Cloud and do not apply to DocuSeal Self-Hosted, which is hosted on your servers and thus does not require these Terms of Service.

We reserve the right to update these Terms of Service in the future. Any significant changes to our policies will be announced on our blog.

By using our Service, both now and in the future, you agree to abide by the latest Terms of Service. This agreement extends to all our existing and future products, as well as any additional features incorporated into our Service over time. It is important to note that not exercising or enforcing any right or provision of the Terms of Service at times does not constitute a waiver of that right or provision. Additionally, these terms include limitations on our liability.

Account Terms

  • You are responsible for maintaining the security of your account and password. DocuSeal cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  • You are responsible for any activity that occurs under your account, even if conducted by others with their own logins under your account.
  • You may not use our Service for any illegal purpose or to violate any laws in your jurisdiction.
  • You must provide your legal full name and a valid email address in order to complete the signup process.
  • You must be a human. Accounts registered by bots or other automated methods are not permitted.

Payment, Refunds, Upgrading and Downgrading Terms

For our free trial, we specify the trial duration at the time of sign-up. No credit card information is required during the trial period, and, similar to our paying customers, we do not sell your data. To continue using the Service after the trial, advance payment is necessary. Failure to pay will result in the freezing of your account, rendering it inaccessible until payment is made. If your account remains frozen for 60 days, it will be queued for auto-cancellation.

When upgrading from a free trial to a paid plan, immediate charges apply, and your billing cycle starts on the upgrade day.

The number of documents processed in the paid plan must be utilized during the specified term; any unused documents at the end of the term will be forfeited.

You will not incur additional charges for occasional spikes in document processing. There are no surprise fees, and your card will never be unexpectedly charged. If document processing surpasses your selected paid plan for two consecutive months, we will contact you to consider upgrading for the following month. You will have a two-week window to decide whether to continue with a higher plan or cancel your account.

You can upgrade or downgrade in plan level at any time in your account settings. Downgrading your plan may cause the loss of features or capacity of your account. DocuSeal assumes no liability for such losses.

Our payment process is managed by our payment processor, who handles customer service inquiries and returns. All fees include taxes, levies, or duties imposed by taxing authorities. Our payment processor collects and remits these taxes on behalf of taxing authorities.

Fees paid hereunder are non-refundable.

Cancellation and Termination

You are solely responsible for properly canceling your subscription. An email to cancel your subscription is not considered cancellation. You can find instructions for how to cancel your subscription within your account settings. We provide a simple no-questions-asked cancellation link.

If you decide to cancel the Service before the conclusion of your current paid period, the cancellation will take effect at the end of the ongoing billing cycle, and no further charges will be applied. Once this period ends, all your data will become inaccessible on the Service. Within 60 days of this expiration, all data will be permanently deleted from our backups. Please be aware that once data is permanently deleted, recovery is not possible.

At any time, you have the option to delete your account and all associated data. When you choose to delete your DocuSeal account, all data will be permanently erased immediately.

We retain the right to suspend or terminate your account and deny any current or future use of the Service for any reason and at any time. Such termination of the Service will lead to the deactivation or deletion of your account, including your access to account and data. DocuSeal reserves the right to refuse service to anyone at any time and for any reason.

Any form of abuse—verbal, physical, written, or otherwise (including threats of abuse or retribution)—towards any Service customer, company employee, or officer may result in immediate account termination.

Modifications to the Service and Prices

We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, any part of the Service with or without notice.

Sometimes, we may change the pricing structure for our products. When we do so, we typically exempt existing customers from those changes. However, we may choose to alter the prices for existing customers. If such a decision is made, we will provide at least 30 days' notice and notify you via the email address on record. Additionally, we may post a notice about changes on our blog or the affected services themselves.

DocuSeal shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

Content Ownership, Copyright and Trademark

All content posted on the Service must comply with copyright law.

We claim no intellectual property rights over the material you provide to the Service. All materials uploaded remain yours.

DocuSeal does not pre-screen content, but reserves the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the Service.

The look and feel of the Service is copyright DocuSeal. All rights reserved. You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, or visual design elements without express written permission from DocuSeal.

You grant DocuSeal a worldwide, royalty-free, and non-exclusive license to reproduce, modify, adapt and publish the content solely for the purpose of displaying, distributing, and promoting your documents. This license allows DocuSeal to make publicly-posted content available to third parties selected by DocuSeal so that these third parties can analyze and distribute (but not publicly display) your content through their services.

You also acknowledge that the Service may contain information which is designated confidential by DocuSeal and that you shall not disclose such information without DocuSeal's prior written consent.

Your use of the Service is at your sole risk. The service is provided on an "as is" and "as available" basis.

Privacy and Security of Your Data

We take many measures to protect and secure your data through backups, redundancies, and encryption. We enforce encryption for data transmission from the public Internet.

When you use DocuSeal, you entrust us with your data. We take that trust to heart. You agree that DocuSeal may process your data as described in our Privacy Policy and for no other purpose. We as humans can access your data for the following reasons:

  • To assist you with support requests that you make. We will seek express consent before accessing your account.
  • In rare instances where a software error causes data loss, we might restore data from backups, but only with your consent.
  • To safeguard DocuSeal, we may examine logs and metadata as part of our efforts to ensure the security of your data and the Services as a whole. If necessary, we may also access accounts as part of an abuse report investigation.

You own your data. We will use your data only as described in our Privacy Policy. If we need to access your account for any reason, we will request your permission unless disclosure is required by law.

You understand that the technical processing and transmission of the Service, including your content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

General Conditions

Your use of the Service is at your sole risk. The service is provided on an "as is" and "as available" basis.

You understand that DocuSeal uses third-party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.

You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service, DocuSeal, or any other DocuSeal service.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by DocuSeal.

We may, but have no obligation to, remove content and accounts containing content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Service.

Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Service customer, Company employee or officer will result in immediate account termination.

You understand that the technical processing and transmission of the Service, including your content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

DocuSeal does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.

You expressly understand and agree that DocuSeal shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if DocuSeal has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.

The failure of DocuSeal to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and DocuSeal and govern your use of the Service, superseding any prior agreements between you and DocuSeal (including, but not limited to, any prior versions of the Terms of Service).

Fair use

To ensure a smooth experience for all users, please adhere to the following fair use guidelines:

  • Signature requests: 50 emails/day
  • Submissions via shared links: 100/day
  • Document file size: <10MB
  • Total storage size: <500MB

Should your usage constantly surpass these limits and affect our infrastructure, we may recommend transitioning to a custom pricing plan for ongoing quality service. API and Embedding Pro usage is not subject to the fair use policy.

Liability

You expressly understand and agree that DocuSeal shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if DocuSeal has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.

Our liability is limited whether or not we have been informed of the possibility of such damages, and even if a remedy set forth in this agreement is found to have failed of its essential purpose. We will have no liability for any failure or delay due to matters beyond our reasonable control.

DocuSeal makes no warranty that the service will meet your requirements, or that the service will be uninterrupted, timely, secure, or error-free; nor does DocuSeal make any warranty as to the results that may be obtained from the use of the service or as to the accuracy or reliability of any information obtained through the service.

Any material downloaded or otherwise obtained through the use of the service is done at your own discretion and risk and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

No advice or information, whether oral or written, obtained by you from DocuSeal or through or from the service shall create any warranty not expressly stated in the terms of service.
